By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization.
Who may use the Services
The Services are intended for business use. You must be able to form a binding contract under applicable law to use the Services.
Accounts
If you create an account (or receive access through a customer), you are responsible for maintaining the confidentiality of credentials and for all activity under your account.
Acceptable use
You agree not to:
- use the Services in violation of law or to infringe the rights of others;
- attempt to gain unauthorized access to systems or data;
- interfere with or disrupt the integrity or performance of the Services;
- reverse engineer, decompile, or attempt to extract source code except where prohibited by law;
- use the Services to transmit malware or perform abusive scraping.
Customer data
“Customer Data” means information submitted to or processed through the Services by or on behalf of a customer. Customers retain ownership of their Customer Data. We process Customer Data to provide and support the Services, and as otherwise described in our Privacy Notice.
Free plan data use (AI training)
If you use a free plan of the Services, you agree that Be On Time may use data associated with your free plan use—including Customer Data and usage information—to improve the Services and to develop, train, and evaluate AI/ML models.
This use may involve Be On Time’s affiliates and partners, as well as vendors acting on our behalf. Details about how we handle personal information are described in our Privacy Notice.
Third‑party services (e.g., Jira)
The Services may integrate with third‑party services such as Atlassian Jira. Your use of third‑party services is governed by the third party’s terms. We are not responsible for third‑party services and do not make warranties about them.
Fees and payment
If a Service is paid, fees, billing terms, and payment methods will be described in an order form, statement of work, or other agreement with you. Taxes may apply.
Intellectual property
We (and our licensors) retain all rights, title, and interest in and to the Services, including all related intellectual property. Subject to these Terms and any applicable agreement, we grant you a limited, non‑exclusive, non‑transferable right to use the Services during the term.
Confidentiality
Each party may receive confidential information from the other party. Each party agrees to protect the other party’s confidential information and use it only to perform under these Terms and any applicable agreement.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BE ON TIME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO BE ON TIME FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Termination
We may suspend or terminate access to the Services if you materially breach these Terms or if required for security, legal, or operational reasons. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.
Changes
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Last updated” date.
