Source Code License Agreement

This Source Code License Agreement (“Agreement”) applies only if Be On Time (“we”, “us”, “our”) provides you (“Customer”, “you”) access to any source code related to our SaaS products and services, including Resource Management for Jira.

Overview

Our products are primarily delivered as SaaS. Unless we explicitly agree otherwise in writing, this Agreement does not grant you rights to our production systems, hosting accounts, proprietary operational tooling, or internal repositories.

If we do provide Source Code, we do so to support limited, agreed use cases such as security review, regulated environments, customer‑managed deployments, or continuity planning.

Definitions

  • “Source Code” means the human‑readable code that we provide to you under this Agreement (and any related build scripts or configuration files included in that delivery).
  • “Services” means our hosted software services, including any related web apps, APIs, and integrations.
  • “Documentation” means the technical documentation we provide with the Source Code, if any.

Scope and relationship to other terms

This Agreement governs only your use of the Source Code we provide to you. Your use of the Services remains governed by our Terms of Service and related agreements (such as an order form or statement of work), which remain in effect.

If there is a conflict between this Agreement and an order form, statement of work, or enterprise agreement signed by both parties, the signed agreement controls for that conflict.

License grant

Subject to your compliance with this Agreement and any applicable fees, we grant you a limited, non‑exclusive, non‑transferable, non‑sublicensable license to use the Source Code and Documentation solely for:

  • internal evaluation, audit, and security review related to your use of the Services;
  • operating a customer‑managed deployment only if explicitly agreed in writing; and
  • making internal modifications necessary to run that customer‑managed deployment, subject to the restrictions below.

Delivery, hosting, and environments

We may provide Source Code via a private repository, a secure archive, or another controlled delivery mechanism. Unless explicitly agreed, you are responsible for building, hosting, deploying, and operating any customer‑managed deployment.

For clarity: providing Source Code does not grant you any rights to access our production hosting environments, cloud accounts, signing keys, secrets, or operational tooling.

Restrictions

You agree not to:

  • sell, resell, rent, lease, sublicense, distribute, publish, or disclose the Source Code to any third party (except to approved contractors under a written NDA and only to support your internal use);
  • use the Source Code to develop, benchmark, or improve a competing product or service;
  • remove or alter proprietary notices, attribution, or license headers;
  • disclose vulnerabilities or security findings publicly without providing us a reasonable opportunity to remediate (responsible disclosure);
  • use the Source Code in any way that violates applicable law or infringes the rights of others.

Third‑party and open‑source components

The Source Code may include or depend on third‑party and open‑source software. Those components are licensed under their respective licenses, and you agree to comply with those licenses. Where applicable, third‑party license terms will govern over this Agreement for those components.

Confidentiality

The Source Code is our confidential information. You will protect it using reasonable measures (at least the same measures you use to protect your own confidential information of similar sensitivity) and will limit access to personnel with a need to know.

Security and access controls

You will implement appropriate technical and organizational controls to prevent unauthorized access, including secure storage, access logging where practicable, and prompt revocation of access for personnel who no longer require it.

You will notify us promptly if you become aware of unauthorized access to the Source Code.

Ownership, feedback, and derivatives

We (and our licensors) retain all right, title, and interest in the Source Code and the Services, including all related intellectual property.

If you provide suggestions or feedback, you grant us a worldwide, irrevocable, royalty‑free license to use and incorporate that feedback into our products and services without obligation.

Unless explicitly agreed in writing, you do not acquire any right to distribute derivatives of the Source Code or to offer a product based on the Source Code to third parties.

Support and updates

Unless explicitly agreed in writing, we are not obligated to provide ongoing support, maintenance, or updates for customer‑managed deployments. Support for the hosted Services remains governed by the applicable service terms.

Term and termination

This Agreement begins on the date we first provide you Source Code and continues until terminated. We may terminate this Agreement if you materially breach it and fail to cure within a reasonable period after notice.

Upon termination, you will stop using the Source Code and, at our option, certify deletion of all copies in your possession or control (including backups), except where retention is required by law.

Disclaimers

THE SOURCE CODE (IF PROVIDED) IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BE ON TIME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOURCE CODE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO BE ON TIME FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Governing law

This Agreement will be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to conflict‑of‑laws principles.
